Agreement to Our Legal Terms

These Legal Terms ("Terms") are entered into by and between WFYI Technology Private Limited ("Company," "we," "us," or "our"), a company incorporated under the Companies Act, 2013 of India, having its registered office at WFYI, Shanti Swarup, Basement Floor, 100 Feet Road, Ghitorni, New Delhi – 110030, India, and you ("you" or "user").

We operate the website https://www.wfyi.ai, and related products, software, and services that refer to or link to these Legal Terms (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use of the Services immediately.

1. Our Services

The information provided through our Services is intended for general use and not for distribution in jurisdictions where such distribution would contravene applicable laws or require additional registrations. Users accessing the Services from outside India are responsible for compliance with their local laws.

2. Intellectual Property Rights

Our Intellectual Property: We are the sole owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website design, text, graphics, audio, and video ("Content"), as well as all trademarks, logos, and service marks ("Marks"). These are protected under Indian and international intellectual property laws.

Your License: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Services solely for your personal or internal business purposes. No Content or Marks may be copied, modified, or redistributed without our prior written consent. Requests for such permissions can be directed to legal@wfyi.ai.

Any breach of these rights may result in termination of your access to the Services and potential legal action.

Your Submissions

By submitting suggestions, feedback, or other content ("Submissions"), you assign all intellectual property rights to us. You agree your Submissions do not contain confidential information and are original to you. You are responsible for any damages arising from infringement or misuse.

3. User Representations

By using the Services, you represent that you are legally competent, at least 18 years old, and will comply with applicable laws. You agree not to access the Services through automated means or for unlawful purposes. Providing false or misleading information may lead to termination.

4. Prohibited Activities

Users agree not to engage in activities that may harm the integrity or functionality of the Services, including but not limited to data scraping, security circumvention, impersonation, harassment, or posting malicious code. Commercial use is prohibited unless expressly approved by WFYI.

5. User Generated Contributions

The Services may allow you to post or share content ("Contributions"). You warrant that your Contributions are lawful, original, and do not violate third-party rights. Any content violating these conditions may be removed.

6. Contribution License

By submitting Contributions, you grant WFYI a worldwide, royalty-free, non-exclusive license to use, display, and distribute such content for operational and promotional purposes. You retain ownership of your intellectual property.

7. Services Management

We reserve the right to monitor activity, remove unlawful content, restrict access, or report violations to authorities to ensure secure and lawful operation of the Services.

8. Term and Termination

These Terms remain effective while you use our Services. We may suspend or terminate your access without notice for violation of these Terms or applicable law. Upon termination, your right to use the Services immediately ceases.

9. Modifications and Interruptions

We may modify, suspend, or discontinue parts of the Services at any time without notice. We are not liable for unavailability due to maintenance, system errors, or external factors.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. The courts of New Delhi, India shall have exclusive jurisdiction over any disputes arising under these Terms.

11. Dispute Resolution

Informal Negotiations: Parties agree to attempt informal resolution of disputes within 30 days before initiating arbitration or legal proceedings.

Binding Arbitration: Disputes not resolved informally shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be New Delhi, and proceedings shall be conducted in English.

Exceptions include disputes involving intellectual property rights, theft, or unauthorized use, which may be directly pursued in courts of competent jurisdiction.

12. Corrections

We reserve the right to correct typographical or factual errors in any part of the Services without prior notice.

13. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. WFYI disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Users assume all risks from use of the Services.

14. Limitations of Liability

To the maximum extent permitted by law, WFYI and its affiliates shall not be liable for indirect, incidental, or consequential damages, including data loss or lost profits. Our aggregate liability shall not exceed the amount paid by you to access the Services, or INR 10,000, whichever is lesser.

15. Indemnification

You agree to indemnify and hold harmless WFYI, its affiliates, officers, and employees from any claims, damages, or losses arising from your use of the Services or violation of these Terms.

16. User Data

We maintain certain data transmitted through the Services for operational purposes. You are responsible for retaining your own backups. We are not liable for data loss or corruption. Please refer to our Privacy Policy for data handling details.

17. Electronic Communications, Transactions, and Signatures

By using the Services, you consent to receive communications electronically and agree that electronic agreements, notices, and records satisfy any legal requirement for written communication.

18. Miscellaneous

These Terms constitute the entire agreement between you and WFYI. If any provision is deemed invalid, it will be severed without affecting remaining terms. Our failure to enforce any right shall not constitute a waiver. We may assign our rights without restriction.
